General corporate advice includes voting and attendance at shareholders and directors meetings, the framing of resolutions, advice on a company's constitution (its Memorandum and Articles of Association), conflicts of interest individual directors may have with a particular contract, awkward minority shareholders, advice on the obligations of the company secretary, obligations and the requirements of keeping the statutory books.
